Terms of sales

1. SCOPE OF APPLICATION:

These General Terms and Conditions of Sale apply to all commercial transactions concerning the products offered for sale by AGS S.A.R.L. on its website, to the exclusion of all other conditions (unless expressly agreed in writing and approved by the parties). The mere act of placing an order through the AGS-LAB.COM website or any other means provided implies acceptance of the general terms and conditions set out below.

2. DEFINITIONS:

The terms used in these general terms and conditions or on the AGS-LAB.COM website shall be understood as follows:

2.1. Site: The AGS S.A.R.L. website on which products are presented and sold to customers.

2.2. Customer: Any natural or legal person making a purchase on the AGS-LAB.COM website, whether for professional or personal purposes.

2.3. Product: Any item offered for sale by AGS S.A.R.L. on the site, including, but not limited to, laboratory equipment and associated services.

2.4. Order: The act by which the customer commits to purchasing one or more products through the site or any other sales channel provided by AGS S.A.R.L.

3. PRICES:

3.1. The prices of products displayed on the AGS-LAB.COM website are indicated in euros, excluding taxes (HT) and including all taxes (TTC), unless otherwise stated. They do not include delivery costs, which are specified during the ordering process.

3.2. AGS S.A.R.L. reserves the right to modify its prices at any time, but products will be invoiced based on the prices in effect at the time of order validation by the customer.

3.3. Any tax, duty, or other charge payable under French regulations or those of an importing country shall be borne by the customer.

4. ORDER:

4.1. To place an order, the customer must follow the online ordering process on the AGS-LAB.COM website, select the desired products, verify the order details, and make the payment.

4.2. Any order confirmed by the customer constitutes an irrevocable acceptance of the sales offer, except in cases provided for by applicable legislation (e.g., right of withdrawal).

4.3. AGS S.A.R.L. reserves the right to refuse or cancel any order in case of non-payment, errors in the information provided by the customer, or for any other legitimate reason.

5. PAYMENT:

5.1. Payment for products is made online using the payment methods offered on the site (credit card, bank transfer, or other indicated method). The customer guarantees that they have the necessary authorizations to use the chosen payment method.

5.2. Payments are secured through a data encryption system. AGS S.A.R.L. does not retain customers' banking information.

5.3. In case of non-payment, AGS S.A.R.L. reserves the right to suspend or cancel the delivery of ordered products.

6. DELIVERY:

6.1. Products are delivered to the address indicated by the customer during the order. Delivery times are provided for indicative purposes and are not guaranteed.

6.2. The risks of loss or damage to the products are transferred to the customer at the time of delivery or, in case of absence, when the products are made available.

6.3. In case of delivery delay or non-conformity, the customer must inform AGS S.A.R.L. as soon as possible to find an appropriate solution.

7. RIGHT OF WITHDRAWAL:

7.1. In accordance with applicable legislation, the customer has a period of 14 days from receipt of the products to exercise their right of withdrawal, without having to provide a reason, except for personalized or perishable products.

7.2. To exercise this right, the customer must notify AGS S.A.R.L. of their decision by mail or email and return the products in their original condition at their own expense.

7.3. The refund will be made within 14 days of receipt of the returned products, subject to their good condition.

8. WARRANTIES AND LIABILITIES:

8.1. Products sold by AGS S.A.R.L. are covered by the legal warranty of conformity and the warranty against hidden defects, in accordance with Articles L.217-4 et seq. of the Consumer Code and Articles 1641 et seq. of the Civil Code.

8.2. AGS S.A.R.L. shall not be liable for indirect or unforeseeable damages resulting from the use of the products.

8.3. Any warranty claim must be addressed to AGS S.A.R.L. with proof of purchase and a detailed description of the issue.

9. PERSONAL DATA PROTECTION:

9.1. Personal data collected during the order is processed in accordance with the General Data Protection Regulation (GDPR). It is used solely for order processing and customer relationship management.

9.2. The customer has the right to access, rectify, and delete their data, which they can exercise by contacting AGS S.A.R.L.

10. APPLICABLE LAW AND DISPUTES:

10.1. These general terms and conditions of sale are governed by French law.

10.2. In case of a dispute, the customer is invited to contact AGS S.A.R.L. to find an amicable solution. Failing that, the competent courts will be those of the registered office of AGS S.A.R.L.
